Enterprise Registration

Judicial authorities make state registration of legal entities and record registration of branches and representative offices (except for legal entities – participants of the regional financial center of Almaty City under the National Bank of the Republic of Kazakhstan).

State (record) registration, re-registration and liquidation registration of banks, public and religious entities with republican and regional status, including political parties, branches and representative offices of foreign and international non-commercial non-governmental alliances is executed by the Registration Service and Legal Support Committee under the Ministry of Justice of the Republic of Kazakhstan.

State registration, re-registration and liquidation registration public and religious entities with local status, funds and legal entities alliances, record registration, re-registration and de-registration of branches and representative offices of public and religious alliances in relevant region and Astana and Almaty cities is executed by the Department of Justice of the regions, Astana and Almaty cities.

State (record) registration, re-registration and liquidation registration of legal established, reorganized and liquidated legal entities, record registration (re-registration and de-registration) of branches and representative offices in relevant region, except for those who are subject to registration in the Committee, is executed by regional (municipal) Departments of Justice of the Ministry of Justice of the Republic of Kazakhstan.

Types of state services on legal entities registration

Now all services related to legal entities registration are provided through the Population service centers:

  • State registration (re-registration) of legal entities, record registration (re-registration) f their branches and representative offices;
  • State registration and registration of legal entity’s activity termination, de-registration of a branch or representative office
  • Issuance of duplicate copy of articles of association (statute) of a legal entity not related to private entrepreneurship subject, as well as of a joint stock company, its branches and representative offices;
  • Issuance of certificates from State database «Legal entities»;
  • State registration of amendments and additions to incorporation documents of legal entities not related to private entrepreneurship subject, as well as of a joint stock company, statutes on its branches (representative offices).

List of documents required for submission to the Population service centers is established by the Instruction on state registration of legal entities and record registration of branches and representative offices approved by the decree of the Ministry of Justice of the Republic of Kazakhstan dated April 12, 2007 under No. 112.

According to the article 12 of the Law «On state registration of legal entities and record registration of branches and representative offices» Certificate issued by the registering authority in the form established by the Government of the Republic of Kazakhstan is the document confirming the state registration (re-registration) of a legal entity or record registration (re-registration) of the branch (representative office).

Issuance of the mentioned certificate may be implemented on the web portal of the «electronic government», which is now publicly available.

Electronic services in registration of legal entities:

The specified registration procedure eliminates possibility of rejection in state registration of small entrepreneurship subject.

Registration of middle-size and large entrepreneurship subjects in alternative order upon willing of the subject may be executed through the web-portal of the «electronic government ».

For simplification of the administrative procedures the web-portal of «electronic government» provides opportunity to issue the following electronic certificates:

  • «On registered legal entity, branch or representative office »;
  • «On presence of legal entity’s branches and representative offices »;
  • «On legal entity’s participation in other legal entities »;
  • «On person’s participation in other legal entities »;
  • «On all registration activities of a legal entity, branch or representative office »;
  • «On latest amendments to legal entity’s incorporation documents »;
  • «On registered legal entity, branch or representative office for the given date »;
  • «On imposed encumbrances (arrest) of legal entity ».

Moreover, currently work is implemented on transfer to electronic format of socially important service – «state registration of legal entity termination of activity», integration of which is planned by the end of 2013.
